This agreement is governed by and shall be construed and enforced under the laws of the United States of America, except that no agency or instrumentality of the United States Government shall be liable to the Contractor with respect to any claim based on the award, termination, or failure of work to be performed under the award. This agreement contains provisions that limit or prevent the Contractor from performing some or all of the Services in certain jurisdictions; such jurisdictions include, but are not limited to, the Country of Origin, and Contractor may elect one or more localities from a list of these jurisdictions, and any other jurisdictions expressly approved by the Contractor. 3. This agreement does not confer any rights in the Government or a right to enforce Contractor's rights under any Federal, State, local, or foreign laws. 4. Notwithstanding the foregoing, in the event Contractor and the Government enter into a binding agreement requiring the Government to indemnify, defend or hold harmless Contractor or its subcontractors from claims that the Government has or will sustain as a result of performance of a contract with a subcontractor, Contractor's obligations thereunder will not be affected by any such agreement. The Government's obligations under this clause shall be enforceable without regard to the existence of any agreement.
